I. General rules
1.1. This Regulation was developed by the executive body of Bukhara Agro Cluster LLC and approved by the minutes of the meeting of the company's participants No. ____ dated "___" ___________ 2019.This Charter defines the status of the executive body of a limited liability company and regulates its activities. Executive body - the sole executive body of the company.
1.2. The executive body of the company manages the current activities of the company within the powers provided by the Law of the Republic of Uzbekistan "On limited and additional liability companies", the Charter of the Company and this Charter.
The executive body of the Company is accountable to the general meeting of members of the Company (hereinafter referred to as the Participant) and the Supervisory Board of the Company.
II. The procedure for the formation of the executive body of the company.
2.1. According to the Charter of the Company, the current activities of the Company are directed by the head of the executive body of the Company - the General Director.2.2. The General Director of the Company is appointed and dismissed by order of a member of the Company in accordance with the established procedure. Also, early termination of his powers is carried out by decision of the general meeting of members of the Company.
2.3. The conclusion and termination of an employment contract with the General Director of the Company in accordance with the established procedure, the granting of leave, the application of disciplinary measures and sanctions to it in accordance with the procedure established by law is carried out by the general meeting of participants.

I. General rules
1.1. The Civil Code of the Republic of Uzbekistan, the Law "On Joint Stock Companies and Protection of Shareholders' Rights" and the Law "On Limited and Additional Liability Companies" and the Extraordinary General Meeting of Shareholders of the Bukhara Cotton Industry on July 6 and July 11, 2019 was established in accordance with the decisions. I. General rules
1.1. This Charter is a regulatory document that defines the powers of the general meeting of a limited liability company, as well as the procedure and terms for convening, preparing and holding the general meeting.II. II.Power of the Company Members's General Meeting
2.1. The powers of the general meeting of members of the company are determined by the charter of the company in accordance with this Law.2.2. The exclusive powers of the general meeting of participants include:
а)determination of the main directions of the Company's activities, as well as making decisions on participation in other associations of commercial organizations;
b) change the size of the authorized capital of the company;
c) introduction of amendments, additions to the constituent documents of the Company and approval of the Charter of the Company in a new edition;
d) election and early termination of powers of the executive body of the Company on the basis of the General Director (General Director);
g) approval of annual reports, annual balance sheet and annual business plan of the Company;
g) making a decision on the distribution of the Company's net profit among the members of the Company;
h) approval (adoption) of documents regulating the activities of the Company's bodies;
i) making a decision to conduct an audit, determining the maximum amount of remuneration for audit organizations and their services;
j) making decisions on the establishment of other legal entities, representative offices and branches;
